Affiliate Agreement

This is the agreement between you and Quantum Lifestyle LLC.

It covers how you may represent our products, how commissions are earned and reversed, who owns the organization you build, and when an account can be closed.

Please read it before you enroll. Sections 4 and 5 on health and income claims, and Sections 18 and 19 on cross-sponsoring and re-enrollment, matter most in day-to-day practice.

Together with the Policies and Procedures, the Compensation Plan, and the Privacy Policy, this forms your complete agreement with the Company.

Questions are welcome at support@quantumlifestyle.com before you sign.

How to contact the Company. Two channels, and the difference matters.

General questions — products, programs, or anything not tied to your account: support@quantumlifestyle.com.

Anything involving your identity, your account, or personal information — open a support ticket in your Back Office. This includes data protection and privacy requests, disciplinary appeals, formal dispute notices, returns and RMA requests, violation reports, site approval submissions, and any tax or payment detail. The Back Office confirms who you are; email cannot. Do not send personal, account, or payment information by email.

Where a Section below gives a deadline, the clock runs from the date the ticket or message is received, whichever channel applies.

Contents

1 Agreement and Acceptance

1.1 How acceptance occurs

You accept this Agreement by any of the following: registering as an Affiliate on paper or by electronic signature; checking the acceptance box during enrollment; accessing the Affiliate Back Office; placing an order at Affiliate pricing; or accepting any commission, bonus, award, or benefit under the Compensation Plan.

1.2 Incorporated documents

The following are incorporated into and form part of this Agreement (collectively, "the Agreements"):

  • Policies and Procedures
  • Compensation Plan
  • Privacy Policy
  • Terms of Use
  • Returns and Shipping Policy
  • The Approved Language Guide and any other compliance guidance, disclosure requirement, or official material the Company issues from time to time

Current versions are published at quantumlifestyle.com. Conflicts between documents are resolved under Section 25.1.

Website and online conduct. The former Personal Web Site, Online Marketing and Advertising Policy (also published as the Website, Social Media and Online Sales Policy) is withdrawn as a separate document as of the Effective Date above. Its requirements are now stated in full in Section 6 of this Agreement and are binding in that form. Any reference in another Company document to the Personal Web Site Policy, the Website Policy, or the Online Marketing and Advertising Policy is a reference to Section 6.

1.3 Electronic signature

An electronic signature has the same legal effect as a handwritten signature. The Company may require a signed paper Agreement at any time and may withhold commissions until it is received. Forged signatures, false information, or alterations made after signature are grounds for immediate termination.

2 Eligibility and Legal Status

2.1 Who may enroll

  • At least 18 years old, or the age of majority in your jurisdiction if higher
  • Resident, with a valid residential address, in a country where the Company has formally opened operations (current list in the Back Office)
  • A valid taxpayer or business identification number: SSN, ITIN, or EIN (United States); VAT, SIRET, Steuernummer, Codice Fiscale, NIF, UID, or equivalent (EU, UK, Switzerland); TIN (Thailand)
  • Any business registration, licence, or notification that local law requires of an independent direct seller
  • A complete and accurate Affiliate Agreement
  • Not an employee, an employee's spouse or domestic partner, or a person related to and living in the same household as an employee

The Company may decline any application in any market at its discretion, and may require identity or address verification before releasing commissions.

2.2 Independent contractor status

There is no employment relationship, agency, partnership, joint venture, franchise, or business opportunity as defined by law. You set your own hours, methods, and goals. You have no authority to bind the Company, speak on its behalf, or hold yourself out as an employee, agent, or corporate office.

2.3 One business per person

You may hold an ownership interest in only one Quantum Lifestyle business — as an individual, sole proprietor, partner, shareholder, member, trustee, or beneficiary. Members of the same family unit may each hold a separate business only if each later position is enrolled frontline to the first family member enrolled.

Family unit means spouses or domestic partners and dependent children living at, or doing business from, the same address.

2.4 Business entities

A corporation, partnership, LLC, or trust may hold an account. Formation documents are required within 30 days; the position is provisional until they are received. Every owner, officer, member, partner, trustee, and beneficiary is personally bound and individually responsible.

2.5 Household and affiliated parties

Conduct by a household member or an entity associate that would breach this Agreement if done by the Affiliate is treated as the Affiliate's own breach.

3 Affiliate Responsibilities

3.1 General standard

Ethical, honest, and lawful conduct is required, in compliance with:

  • FTC rules on advertising, endorsements, and earnings claims
  • FDA restrictions on health and disease claims
  • EU consumer protection law, the Unfair Commercial Practices Directive, and the GDPR
  • Direct selling, doorstep selling, distance selling, and pyramid-scheme statutes of your country
  • Applicable tax, invoicing, and business registration requirements

3.2 Compliance with Company policies

You must comply with all current and future policies, procedures, rules, codes of conduct, compliance standards, and guidelines. The Company may amend these at any time for legal, regulatory, or operational compliance. Continued participation after notice constitutes acceptance.

3.3 Sponsoring and support obligations

Genuine training and support are required: ongoing contact, response to reasonable questions, and reasonable supervision to ensure your enrollees do not make improper product or income claims. You must be able to demonstrate this on request.

3.4 Approved materials only

Company-produced sales aids are required. Any self-created material — print, digital, video, social, or web — must be submitted for prior written approval by support ticket in your Back Office. If no written approval is received, the request is denied. Approval may be withdrawn at any time, with immediate removal required and without compensation.

3.5 Reporting violations

Submit a written report by support ticket in your Back Office within 90 days of knowing, or reasonably having reason to know, of a violation. Include the nature of the violation, supporting facts, dates, number of occurrences, people involved, and documentation. Section 18.6 sets out additional rules specific to cross-sponsoring.

4 Health and Product Claims

Quantum Lifestyle products are lifestyle wellness accessories. They are not medical devices, veterinary devices, drugs, or dietary supplements. Nothing enters the body; the products are non-transdermal and externally applied. They have not been evaluated by the FDA or by any equivalent authority in the EU, UK, Switzerland, or Thailand.

The governing principle. All product communication must stay experiential and lifestyle-framed. The more mechanism you assert, the easier it becomes for a regulator to treat the product as an unapproved medical device rather than an accessory. Asserting less is the stronger position, not the weaker one.

4.1 Prohibited claims

Never state or imply that any product will:

  • Diagnose, treat, cure, mitigate, or prevent any disease or medical condition, in people or in animals
  • Relieve pain, aches, soreness, discomfort, or any symptom
  • Replace, reduce, or make unnecessary any medication, therapy, or professional care
  • Be approved, certified, cleared, or endorsed by the FDA or any regulator
  • Be clinically proven, clinically tested, or supported by clinical evidence

Named conditions are prohibited — including cancer, diabetes, arthritis, depression, anxiety, autism, ADHD, insomnia as a diagnosed disorder, tumours, chronic pain conditions, or any other named illness.

4.2 Prohibited framing, wording and imagery

The following devices carry a health claim even where no condition is named, and are prohibited in all Affiliate materials and communications:

ProhibitedWhy, and what to use instead
Mechanism-of-action statements Describing what the product does inside the body — for example releasing tension, stimulating points, supporting blood flow, reducing muscle tension, or stimulating healing. Describe placement and experience instead of physiology.
"Effective" without an object The surrounding context supplies a therapeutic answer to "effective at what?" Use factual attributes such as easy, simple, lightweight, reusable, or everyday.
"Drug-free" positioning Positioning the product as a drug-free alternative for the same purpose strengthens the implied drug claim rather than defusing it. Use "Nothing Enters the Body" or "Non-Transdermal."
Before-and-after imagery A graphic showing a marked area that clears after product application is a visual treatment claim. Red targeting marks read as pain indicators. Use neutral placement graphics only.
Clinical audience targeting Naming chiropractors, physiotherapists, rehabilitation centres, clinics, or pharmacies as the intended audience anchors the product to a therapeutic setting.
Benefit lists stated as fact Present user experience as user experience — for example, "what users often share" — not as an established product outcome.

Images and graphics carry claims exactly as text does and are reviewed on the same basis. Body-part labels used as placement guides are permitted.

4.3 Approved wording

The Company publishes an Approved Language Guide in the Back Office giving approved phrasing for product descriptions, together with the substitutions to use in place of prohibited wording. Where the Guide supplies approved wording for something you want to say, use that wording rather than composing your own. Inventing an alternative phrasing means publishing language that has not been reviewed.

The Guide is a working reference. Where it differs from this Section, this Section controls.

4.4 No professional advice

No medical, veterinary, psychological, nutritional, or other professional advice may be given in connection with the business — including where the Affiliate holds a relevant professional qualification.

4.5 Research references

Biofield or energy-field observations may be referenced only in the exact form published in official Company materials, with the Company-supplied attribution and stated limitations. No extrapolation, no describing an observation as clinical evidence, and no applying a result recorded for one product to a different product.

4.6 Testimonials

Only Company-approved and published testimonials may be shared. Every one must carry the disclosure that it reflects one individual's experience and that results vary. You may not solicit, edit, translate, or republish a testimonial in a way that changes its meaning or removes the disclosure.

These rules apply in every channel — website, social media, email, messaging apps and group chats, video calls, live events, and field presentations. Reading or repeating a non-compliant story aloud carries the same exposure as publishing it.

5 Income and Earnings Claims

5.1 Prohibited

  • Guaranteeing, promising, or projecting any level of income
  • Representing any earnings figure as typical, expected, or achievable by an average participant
  • Promoting "financial freedom," "passive income," "quit your job," "replace your salary," or similar
  • Displaying commission screenshots, cheque images, payment notifications, or rank income figures
  • Images of cars, homes, travel, or luxury goods implying they were funded by the opportunity
  • Describing the business as an investment, a passive return, or anything other than a sales opportunity requiring active work

5.2 Required disclosures

Any reference to earnings, rewards, recognition, or lifestyle must clearly and conspicuously disclose that results vary, that income is not guaranteed, that success requires substantial independent effort, and that testimonials reflect individual experience only. The disclosure must appear in the same medium and be at least as prominent as the claim.

5.3 Retail sales emphasis

Compensation is based on sales to end consumers. Recruitment must never be presented as the source of income. Every presentation of the opportunity must include the products and their retail sale. Purchases made solely to qualify for rank, bonuses, or commissions are prohibited.

6 Marketing, Advertising and Online Conduct

Two principles run through this entire Section.

1. Marketing is yours. The transaction is ours. You may promote in your own voice on your own properties. Every product sale must complete inside a Company system.

2. If it is not approved, do not publish it. Product claims, income statements, imagery, and translations must come from Company-approved sources.

6.1 Scope

This Section applies to every online property you operate or control that references Quantum Lifestyle, its products, or the opportunity — websites, landing pages, funnels, blogs, social media accounts and groups, video channels, podcasts, messaging broadcasts, online advertisements, and any storefront or listing of any kind. It applies in every market.

This Section replaces the former Personal Web Site, Online Marketing and Advertising Policy, which is withdrawn as a separate document. Where the Policies and Procedures address the same subject, this Section controls under Section 25.1.

6.2 Definitions for this Section

TermMeaning
Replicated WebsiteThe personalised Company-hosted website provided to you at enrollment, together with any Company-hosted landing pages, share links, or storefront links issued to you
Independent SiteAny website, page, funnel, blog, or channel that you own, rent, host, or control that is not a Replicated Website
Company SystemsThe Quantum Lifestyle e-commerce platform, Back Office, ordering systems, and any payment or checkout process operated by or for the Company
Company MarksQuantum Lifestyle, QuantaGram, LuckyGram, EMFgram, QuantaPet, Quantum Infused, Quantum Energy Card, Alien Eyewear, the Company logo, product names, product images, and any other Company trademark, trade name, or copyrighted work, whether registered or unregistered
Approved MaterialsLiterature, images, video, copy, and translations published by the Company in the Back Office or expressly approved in writing under Section 6.7

6.3 Your Replicated Website

Your Replicated Website is the Company's primary sales channel for your business. The Company maintains it and keeps it current with approved pricing, product information, tax treatment, and regulatory disclosures for each market, and it credits volume and commissions to your position automatically.

You are responsible for keeping your profile information accurate and professional. The Company may edit or remove profile content that is inaccurate, non-compliant, or damaging to its reputation.

You may not frame, mirror, scrape, clone, proxy, or reproduce your Replicated Website or any part of Company Systems on an Independent Site. You may not mask the Company's URL behind your own domain, except through a simple forwarding redirect that resolves visibly to the Company URL.

6.4 Independent Sites — permitted use

You may operate an Independent Site as a marketing and lead-generation asset, subject to approval under Section 6.7. Permitted activity includes:

  • Sharing your personal story, background, and reason for building the business
  • Publishing educational or lifestyle content that complies with Sections 4 and 6.10
  • Capturing contact details from prospects who consent, subject to Section 6.13 and Section 21
  • Booking calls, hosting events, and supporting your personal team
  • Linking to your Replicated Website, Company-issued share links, and Company-approved literature

An Independent Site may not function as a store. It may not display shopping carts, add-to-cart buttons, checkout pages, pricing tables presented as an offer to sell, inventory counts, shipping calculators, or any payment mechanism for Quantum Lifestyle products.

6.5 All product sales must route through Company Systems

CORE RULE. Every sale of a Quantum Lifestyle product must be transacted through Company Systems. You may not accept payment for Company products through any personal or third-party payment method, including card readers, PayPal, Venmo, Cash App, Zelle, Stripe, Wise, Revolut, Twint, PromptPay, bank transfer, cryptocurrency, cash, or invoice.

This rule protects you as much as the Company. Sales taken outside Company Systems are not covered by the Company's VAT and consumer-tax registrations in your market, are not covered by its product liability and consumer-guarantee obligations, generate no commissionable volume for you or your upline, and expose you personally to registration, tax, and refund obligations you are not equipped to carry.

Hand-to-hand sale of product you have personally purchased is permitted only where expressly allowed for your market, at not less than the published retail price, and never through an online listing.

6.6 Third-party marketplaces are prohibited

You may not list, sell, offer, advertise, or permit any other person to list Quantum Lifestyle products on any online marketplace, auction site, classified site, discount site, group-buy site, or social commerce storefront. This includes, without limitation:

  • Amazon (all domains), eBay, Walmart Marketplace, Etsy, Temu, Wish, AliExpress, Alibaba, Mercado Libre, Rakuten, Cdiscount, Fnac, Otto, Kaufland, Bol, Allegro, Lazada, Shopee, JD, Taobao
  • Facebook Marketplace, Instagram Shopping, TikTok Shop, WhatsApp Business catalogs, Pinterest product pins, YouTube Shopping
  • Craigslist, Gumtree, Leboncoin, Kleinanzeigen, Wallapop, Subito, Anibis, Ricardo
  • Any subscription box, dropship arrangement, affiliate network, coupon site, or reseller

Unauthorised marketplace listings damage retail pricing, generate counterfeit and expired-product complaints attributed to the brand, and produce reviews and returns the Company cannot service. A confirmed marketplace listing is grounds for immediate suspension of your position pending investigation, and the Company may pursue removal directly with the platform at your cost.

6.7 Approval and registration

Before you publish an Independent Site, or make any material change to one, submit it for review by support ticket in your Back Office. Include:

  • The domain name and all subdomains
  • The market or markets and the language or languages the site targets
  • A working preview link, or full screenshots of every page
  • Copies of any lead form, email sequence, or automated message the site triggers

The Company will endeavour to respond within 15 business days. Approval is specific to the version submitted and may be withdrawn at any time. Silence is not approval — consistent with Section 3.4, if no written approval is received, the request is denied.

Business-name social media accounts, video channels, and public groups that use Company Marks in the account name require the same registration.

6.8 Trademarks, domain names and Company Marks

Company Marks are the exclusive property of Quantum Lifestyle LLC. Your appointment grants a limited, revocable, non-exclusive licence to use Approved Materials to promote the business, as set out in Section 9. It grants no ownership.

You may not register, purchase, hold, or use any domain name, subdomain, social handle, app name, advertising account, or email address that contains a Company Mark, a phonetic or visual variation of one, or a common misspelling of one, whether alone or combined with other words.

ExampleStatusReason

quantum-lifestyle.netProhibitedVariation of a Company Mark
wellnesswithmarie.comPermittedNo mark, subject to Section 6.7 approval
marieduboisteam.frPermittedNo mark, subject to Section 6.7 approval

You may use Company Marks in body copy to describe the products and opportunity accurately. You may not alter, recolour, stretch, animate, or recreate the Company logo, and you may not combine it with other logos in a way implying partnership or endorsement.

Permitted identification is limited to "[Your Name], Independent Quantum Lifestyle Affiliate" or "[Your Name], Affiliate of Quantum Lifestyle products." No telephone greeting, voicemail, or presentation may suggest the caller has reached corporate.

If you hold a domain in breach of this Section, you must transfer it to the Company at the Company's request, at your cost, and you assign to the Company any rights you may have acquired in it.

6.9 Required identification and disclosures

Every Independent Site and every business social media profile must state clearly and conspicuously, in the language of the audience:

  • Your full name and that you are an Independent Affiliate of Quantum Lifestyle — above the fold on the home page and in the footer of every page
  • That the site is not operated by Quantum Lifestyle LLC and that the Company is not responsible for its content
  • Any legally required trader identification for your market, including an Impressum where required in Germany, Switzerland, and Austria, and mentions legales in France
  • A cookie notice and consent management where required by the GDPR, UK GDPR, the Swiss FADP, or the Thailand PDPA

You must not describe yourself as an employee, agent, officer, representative, or partner of the Company, or hold yourself out as authorised to bind it.

6.10 Product, income and testimonial claims online

Everything in Section 4 (health and product claims) and Section 5 (income and earnings claims) applies in full to every online property. In addition, online:

  • Use only Approved Materials to describe products. Do not write your own product descriptions, translate Approved Materials yourself, or reproduce content from another Affiliate, another company, or any unapproved source
  • Where Approved Materials attribute product use to traditional acupressure practice, that framing must be preserved intact — do not paraphrase it, shorten it, or drop the accompanying qualifiers. Removing a disclaimer from otherwise-approved copy makes the copy non-compliant
  • Never state or imply that a product delivers, absorbs, or transfers any substance into or through the body, or produces a specific physiological, biological, cellular, or neurological effect
  • Never state that a product is suitable for pregnant women, children, or persons with implanted medical devices, except exactly as stated in Approved Materials
  • Comparative claims about competitor products, and any claim of superiority, exclusivity, patent, or scientific proof not present in Approved Materials, are prohibited
  • Wherever you reference the opportunity, compensation, ranks, bonuses, or lifestyle benefits, display the current Income Disclosure Statement or link to it prominently and immediately adjacent to the reference. Hypothetical examples are permitted only verbatim from Approved Materials and shown with the Income Disclosure Statement
  • Testimonials must comply with Section 4.6. You must hold documented consent from the author before publishing, including consent to any photograph or video, and remove a testimonial promptly on the author's request. A disclaimer does not cure a non-compliant testimonial. Any material connection — payment, discount, gift, or other incentive — must be disclosed clearly and in close proximity, as required by the FTC Endorsement Guides and equivalent rules in the EU, Switzerland, and Thailand

6.11 Social media

Personal accounts used to promote the business, business accounts, groups, and channels are all subject to this Section in full.

  • Your full name and independent Affiliate status must be disclosed on any Company-related profile or posting. Anonymous posting, aliases, and undisclosed accounts are prohibited
  • Public and private groups using Company Marks in the name must be registered under Section 6.7, and the Company may require an administrator role
  • You are responsible for content posted by others on properties you control, including comments and group posts, and must remove non-compliant content promptly once aware of it
  • Do not post in another Affiliate's group, comment section, or event to solicit their prospects or customers
  • Do not send unsolicited bulk direct messages, add people to groups without consent, or use automation, bots, or engagement pods
  • Disclosures required under Sections 6.9 and 6.10 must appear in the post itself, not only in a bio or a linked page
  • Banner images and creative must come from the approved library, in current versions only
  • Do not engage with negative posters. Report it by support ticket in your Back Office

6.12 Paid advertising and search

Paid advertising referencing Quantum Lifestyle, the products, or the opportunity requires written approval under Section 6.7 before it runs — including the creative, the targeting, and the destination page.

Regardless of approval, you may not:

  • Bid on, or use as a keyword, any Company Mark or variation, in broad, phrase, exact, or dynamic search campaigns
  • Use a Company Mark in ad headlines, display URLs, or destination URLs
  • Run ads that appear to originate from the Company or from Company customer service
  • Advertise price, discounts, promotions, or free product not published by the Company
  • Target minors, or target audiences by health condition, medical interest, or medical inference
  • Use spam techniques, cloaking, doorway pages, link schemes, negative SEO, or scraped content

You must add Company Marks as negative keywords in all paid search campaigns.

6.13 Email, SMS and direct messaging

All outbound messaging must comply with the law of the recipient's jurisdiction, including the CAN-SPAM Act and TCPA in the United States, the GDPR and ePrivacy rules in the EU, the UK GDPR and PECR, the Swiss FADP and UWG, and the Thailand PDPA.

In practice: send only to people who have given you demonstrable, documented consent; identify yourself and your postal address; provide a working unsubscribe in every message and honour it promptly; never purchase, rent, scrape, or trade lists; and never message someone because they appeared in a Company system, another Affiliate's team, or a genealogy report.

Company customer, prospect, and genealogy data is confidential Company property. Exporting it to a personal mailing platform, CRM, or Independent Site breaches this Section and Section 10.

When you collect personal data through your own Independent Site or messaging tools you act as an independent controller, as set out in Section 21.3. You must publish a privacy notice on any Independent Site that collects data, use a compliant consent banner where required, keep records of consent, and secure the site with valid TLS. You may not collect special category data, including health data, through a lead form.

6.14 Territory restrictions

You may market and enroll only in markets the Company has officially opened. Your online content must not target, advertise into, or solicit residents of unopened markets, and must not offer to ship or forward product into them.

The Russian Federation and the Republic of Belarus are prohibited territories. You may not market, enroll, sell, ship, forward, or knowingly facilitate any transaction into or from those territories, and you may not accept payment from persons or entities located there. You must not transact with any person or entity subject to sanctions administered by OFAC, the European Union, the United Kingdom, or Switzerland.

Content published in a language other than the official language or languages of an opened market may be treated as targeting an unopened market.

6.15 Artificial intelligence and generated content

You may use AI tools to help draft, edit, or produce content for your own marketing, but you remain fully responsible for everything you publish. AI-generated product claims, translations, statistics, citations, and testimonials are frequently inaccurate and are not Approved Materials.

You may not publish synthetic or altered images, audio, or video that depicts a person using or endorsing Quantum Lifestyle products, that depicts a physical result, or that replicates the voice or likeness of any Company officer, employee, Affiliate, celebrity, or medical professional.

6.16 Prohibited practices

  • Unsolicited bulk email, automated messaging, or mass direct messaging on any platform
  • Cold calling, automated dialling, or telemarketing to people with no established relationship. Do-not-call rules carry severe penalties and the definition of telemarketing is broader than most assume
  • Advertising below published retail price, or offering free product, free shipping, free enrollment, or any inducement not offered by the Company
  • Bundling or displaying Company products with non-Company products in a way implying a relationship
  • Presenting any non-Quantum Lifestyle opportunity, product, or service at, or immediately following, a Company event, call, or meeting
  • Relabelling, repackaging, refilling, or altering any product, label, or insert
  • Creating or circulating before-and-after graphics, outcome imagery, or any visual falling under Section 4.2
  • Promoting Quantum Lifestyle alongside any other direct selling company, network marketing opportunity, or competing product line, or presenting it within a portfolio of ventures. See also Section 26

6.17 Disparagement and interference

No insulting, harassing, threatening, intimidating, or abusing any Customer, Affiliate, employee, vendor, or leader. No creating, publishing, repeating, or forwarding false, misleading, or damaging statements, rumours, or claims about the Company or any Affiliate, and no encouraging others to attack, boycott, or leave. This applies equally to private groups, messaging apps, and voice calls. Conduct determined to be disruptive or injurious is a material breach.

6.18 Monitoring, enforcement and takedown

The Company monitors online activity referencing Quantum Lifestyle and reviews reports from the field, from customers, and from regulators. Where it identifies non-compliant content it may direct you to correct or remove it within a stated period, typically 48 hours.

Available measures are those in Section 11.3, together with takedown notices to platforms and registrars. Regulatory exposure, health claims, income claims, and marketplace listings may result in immediate action without prior warning, as provided in Section 11.3.

On termination, resignation, or non-renewal, and in addition to Section 11.5, you must within 10 calendar days remove all Company Marks, Approved Materials, product images, and references to Quantum Lifestyle from every online property you control; deactivate any redirect to a Replicated Website; delete or rename any social account, group, or channel using a Company Mark; cease all advertising referencing the Company; transfer to the Company at your cost any domain registered in breach of Section 6.8; and delete all Company customer and prospect data. These obligations survive termination.

Not sure whether something is allowed? Ask before you publish. General questions go to support@quantumlifestyle.com; approval requests go by support ticket in your Back Office. A one-line question is always cheaper than a takedown.

7 Compensation, Adjustments and Tax

7.1 How you are paid

Compensation is governed solely by the official Compensation Plan. Commissions are paid on genuine sales to end consumers. No payment is made for the act of recruiting. Earnings are not guaranteed. Payment may be postponed until the cumulative amount due exceeds 100 units of the payment currency.

7.2 Chargebacks and adjustments

Refunded, returned, charged-back, or breach-purchased product results in deduction of the attributable commissions and bonuses from every Affiliate who received them. Deductions begin in the period the refund is processed and continue until recovered. Termination before recovery permits offset against other amounts owed and pursuit of the remainder as a debt.

7.3 Discrepancies

Errors, omissions, or disputes regarding commissions, bonuses, reports, orders, or charges must be reported in writing to support@quantumlifestyle.com within 30 days of the statement or incident. Anything not reported in that window is waived.

7.4 Prohibited qualification practices

The following are grounds for immediate termination and forfeiture of related commissions:

  • Enrolling any person or entity without their knowledge and genuine acceptance
  • Enrolling fictitious people or entities
  • Using another person's payment card, bank account, address, or identification without documented written permission
  • Purchasing product under another account to qualify for rank, incentives, or commissions
  • Purchasing more product than can reasonably be used or resold in a month
  • Any other device intended to produce volume not driven by genuine consumer demand

7.5 Taxes

You are solely responsible for all taxes on your earnings, for registering with tax authorities where required, for issuing any legally required invoices, and for accounting for VAT, GST, or equivalent. The Company issues market-required tax documentation. The Company does not provide tax or legal advice.

8 EU, UK, Switzerland and Other International Affiliates

8.1 Where the Company operates from

Quantum Lifestyle LLC operates from the United States and contracts directly. Business may be conducted only in formally opened markets. Promoting into a country where the Company has no presence is a breach and creates regulatory exposure for the Company and for you personally.

8.2 Your own legal obligations

You are responsible for the direct selling, consumer protection, advertising, tax, and data protection laws of your own country. Several European markets require registration with a commercial or social security authority, invoicing in a prescribed form, or observance of cooling-off and doorstep-selling rules. The Company cannot advise on these and does not assume them.

8.3 Mandatory rights preserved

Nothing in this Agreement removes, limits, or waives any right under the mandatory law of your country of residence that cannot lawfully be excluded by contract. Conflicting provisions are modified only to the minimum extent necessary.

8.4 Currency, customs and delivery

Prices, duties, import taxes, and delivery terms vary by market and are published in the Back Office. Do not quote, translate, or publish pricing, tax treatment, or delivery terms other than those the Company publishes for that market.

9 Intellectual Property

All trademarks, trade names, product names, logos, holographic and carbon fibre product designs, formulations and processes, training materials, photographs, video, copy, and software are the exclusive property of Quantum Lifestyle LLC or its licensors.

Company marks include: Quantum Lifestyle, QuantaGram, LuckyGram, EMFgram, QuantaPet, Quantum Infused, Quantum Energy Card, and Alien Eyewear, together with associated logos and product designs.

Affiliates in good standing receive a limited, revocable, non-exclusive, non-transferable licence to use approved materials solely to promote Company products and the opportunity. No ownership right is granted. The licence ends immediately on suspension, termination, or resignation.

Certain photographs and graphics are licensed to the Company under contracts that do not extend to Affiliates — they may not be reused outside approved materials. No recording, reproducing, selling, or distributing any Company event, call, or presentation.

10 Confidentiality and Genealogy

10.1 What is confidential

Back Office data, genealogy and Line of Sponsorship reports, downline and Customer names and contact details, volume and commission data, unpublished pricing, and internal training and compliance material are confidential information and trade secrets of the Company.

10.2 Obligations

During your participation and for 3 years afterwards, you may not sell, share, copy, export, screenshot, or otherwise disclose confidential information, or use it for any purpose other than operating your own Quantum Lifestyle business. Reproducing any part of the genealogy at another company is a serious breach and will be treated as misappropriation of trade secrets.

10.3 Contact data held

Downline and Customer contact details are provided solely to support and service your organisation. Where data protection law applies, you are responsible for lawful handling, honouring opt-outs and erasure requests, and deleting the data when your participation ends. Written confirmation is required on request.

10.4 Return of materials

On demand, return or permanently delete all reports, lists, and confidential materials in any format — including copies on personal devices or in cloud storage.

11 Term, Suspension and Termination

11.1 Term

This Agreement takes effect on acceptance and continues until terminated by either party.

11.2 Right to resign

Resign by written notice to support@quantumlifestyle.com. Resignation is effective when processed and confirmed in writing. It does not cancel debts. It starts the Section 19 waiting period.

11.3 Company action

Available measures: warning · required corrective action · fine · commission hold · suspension of recognition or event participation · account suspension · termination.

The Company may act immediately and without prior warning where conduct involves regulatory risk, unlawful or deceptive activity, health or income claims, cross-sponsoring, misuse of another person's identity or payment method, or conduct considered seriously injurious.

11.4 Process and appeal

Except where immediate action is required, you will receive written notice of the conduct at issue and 10 business days to respond in writing. You have one appeal, in writing, within 15 days of the notice, submitted by support ticket in your Back Office. An appeal is reviewed and decided by a person other than the person who made the original decision. The decision on appeal is final and binding.

11.5 Effect of termination

  • All licences end immediately; representation must stop
  • The replicated site is revoked and traffic may be redirected
  • Company names and marks must be removed from every controlled profile, page, and listing; where you previously identified as an Affiliate, you must state clearly that this is no longer the case
  • All rights to downline, future commissions, and any pending bonus or award are lost
  • The Company may move, compress, or reassign positions beneath you at its discretion

Surviving sections: 5, 7.2, 9, 10, 13, 14, 15, 18, 19, 21, 22, and 26.

12 Disclaimer of Warranties

The opportunity, products, services, Back Office, and Compensation Plan are provided "as is" and "as available." All warranties are disclaimed to the maximum extent permitted, including merchantability, fitness for a particular purpose, and non-infringement. This does not limit any warranty or conformity right under mandatory consumer law.

13 Limitation of Liability

The Company is not liable for indirect, incidental, special, punitive, or consequential damages, or for loss of profits, business, downline, anticipated commissions, or data.

Cap: total aggregate liability is limited to the total commissions and bonuses paid to you in the 6 months immediately preceding the event giving rise to the claim.

This does not limit liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded.

14 Indemnification

You indemnify, defend, and hold harmless Quantum Lifestyle LLC, its members, officers, employees, suppliers, and agents from any claim, damage, fine, penalty, regulatory action, judgment, settlement, or cost including reasonable legal fees arising from:

  • Any representation not contained in official Company materials
  • Your marketing, advertising, or online activity
  • Breach of the Agreements or of any law
  • Your handling of personal data

This obligation survives termination.

15 Governing Law and Jurisdiction

West Virginia law applies, without regard to conflict-of-laws rules. The exclusive venue for claims not resolved under Section 22 is the state and federal courts of West Virginia. The UN Convention on Contracts for the International Sale of Goods does not apply.

Residents of the EU, UK, and Switzerland who are treated as consumers under mandatory law retain that protection and may bring proceedings in their country of residence.

16 Severability and Entire Agreement

Invalid provisions are modified to the minimum extent necessary, or severed; the remainder continues in full force.

The documents listed in Section 1.2 constitute the entire agreement, superseding all prior agreements, representations, and understandings, including Version 2.0 and Version 1.0 of this Agreement.

Failure to enforce is not a waiver. No assignment or business transfer is permitted without prior written consent.

17 Sponsorship, Placement and Line of Sponsorship

17.1 Who your Sponsor is

Your Sponsor is the Affiliate recorded on the first validly submitted Affiliate Agreement on file — the first physically signed form, or the first electronic signature through the corporate or a replicated site. Agreements bearing notations such as "by phone," or signed by anyone other than the applicant, are invalid.

17.2 Choosing a Sponsor

Every prospect has the right to choose their own Sponsor. Where multiple Affiliates approached the same prospect, the accepted courtesy is enrollment under the first Affiliate who gave a comprehensive presentation. Disputes are decided on dated evidence — messages, emails, event registrations, calendar entries, Back Office activity. The Company's decision is final.

17.3 Protected prospects

A protected prospect is a guest of any Affiliate or Customer at a Company event, training, conference call, fly-in, or home presentation. For 30 days after the event, that prospect may not be solicited or enrolled by any other Affiliate who attended the same event.

17.4 Sponsor and placement changes

Changes are generally not made after enrollment. They are considered only where:

  • A written request is made within 5 business days of enrollment, with no volume, commissions, or enrollments generated; or
  • The change corrects a documented Company or system error; or
  • Every affected upline Affiliate through to the first common upline consents in writing and the Company approves

Not grounds for a change: personality conflicts, dissatisfaction with an upline, or a better offer from another Affiliate. A Sponsor change is not a route around Section 18; encouraging one for that purpose is a breach.

17.5 Customer assignment

A Customer is assigned to the Affiliate through whose replicated site or referral link they first ordered. A Customer with no order for 6 consecutive months who independently asks to be reassigned may be reassigned. Soliciting, suggesting, or arranging such a request is prohibited.

18 Cross-Sponsoring Prohibition

This is one of the few breaches for which the Company will terminate a business on a first occurrence. It takes income from Affiliates who did the work, corrupts the genealogy the Compensation Plan depends on, and is treated as a form of theft.

This Section is the governing statement of the cross-sponsoring prohibition. Where the Policies and Procedures state the same prohibition in shorter form, this Section controls under Section 25.1.

This Section addresses movement within Quantum Lifestyle — enrolling someone into a different Line of Sponsorship. Soliciting an Affiliate or Customer to join a different company is a separate breach, governed by Section 26.

18.1 Definition

Cross-sponsoring means enrolling, attempting to enroll, causing to be enrolled, or knowingly benefiting from the enrollment into a different Line of Sponsorship of any person or Business Entity that:

  • Currently holds an Affiliate account, active or inactive
  • Held an Affiliate account at any time within the preceding 6 months
  • Is currently a Customer assigned to another Affiliate, or was within the preceding 6 months
  • Is a member of the family unit of any of the above, where the enrollment is used to achieve indirectly what could not be achieved directly

Both actual and attempted cross-sponsoring are prohibited.

18.2 Conduct that constitutes cross-sponsoring

  • Identity substitution — using the name of a spouse, partner, relative, friend, housemate, employee, or associate; a trade name, assumed name, or DBA; a corporation, partnership, LLC, or trust; a second or fictitious tax identification number; or a different email, telephone, or shipping address, to create a position that is in substance the same person's business in a different line
  • Induced resignation — soliciting, encouraging, advising, or assisting an existing Affiliate or Customer to resign, terminate, cancel, lapse, or go inactive so they may later enroll under a different Sponsor. Telling someone to "wait out the six months" is itself a breach, whether or not they act on it.
  • Parking — enrolling someone under a placeholder, dormant, or third-party position intending or expecting to move them later
  • Customer raiding — soliciting a Customer assigned to another Affiliate to reorder through your link, site, or a new account
  • Downline raiding — soliciting any Affiliate outside your organisation to move, re-enroll, or enroll a family member in your line
  • Assisting or benefiting — coaching, funding, facilitating, or concealing another person's cross-sponsoring, or knowingly accepting the volume, rank credit, or commissions it produces
  • Concealment — providing false or incomplete information during an investigation, or instructing another person to do so

18.3 What is not cross-sponsoring

  • An approved sale or transfer of a business. A genuine sale or transfer approved in advance by the Company in writing. To be approved, the transfer must be a bona fide arm's-length transaction, the transferee must be eligible to enroll under Section 2.1 and must not be a person the transferor could not lawfully sponsor under this Section, all sums owed to the Company must be settled, and the request must be submitted in writing to support@quantumlifestyle.com with the proposed terms and the identities of all parties. This paragraph is the Company's sale-and-transfer policy for all purposes, including where the Policies and Procedures refer to a sale or transfer policy set out in Official Company Materials.
  • A placement correction or Sponsor change made under Section 17.4
  • A person who has never held an Affiliate account and has never been another Affiliate's Customer choosing a Sponsor freely
  • Accepting into an organisation a person the Company has reassigned

18.4 How the Company investigates

Matters are decided on the balance of available evidence: enrollment records and timestamps, IP addresses and device identifiers associated with account creation and log-in, payment instruments, shipping and billing addresses, telephone numbers and email domains, referral link data, order patterns, and written or recorded communications submitted by any party.

Where a household, entity, or associate holds a second position, the positions may be treated as related and documentary proof of genuine separation may be required.

Cooperation is required. Written enquiries must be answered within 10 business days and documentation provided. Failure to cooperate is itself a breach and permits a decision on the available evidence.

18.5 Remedies

RemedyEffect
RestorationMove the affected position and any organisation beneath it back to the original Line of Sponsorship, retroactively
ClawbackReverse and recover all commissions, bonuses, rank credit, incentives, prizes, and trip awards derived from affected volume, and reallocate them to the Affiliates who should have received them
ForfeitureCancel the offending position and forfeit its downline, without compensation
FineMonetary penalty, deductible from future commissions
Rank actionReduce or rescind any rank achieved with affected volume, including recognition already given
SuspensionSuspend the account and withhold commissions pending resolution
TerminationTerminate the business, on a first occurrence where warranted

Retroactive commission reallocation is limited to the 6 most recent completed commission periods before the report was received, regardless of how long the conduct continued. This protects the integrity of closed accounting periods and does not limit any other remedy.

The Company has no liability to any Affiliate for loss of downline, volume, rank, or income resulting from action under this Section.

18.6 Reporting

Submit a written report by support ticket in your Back Office within 90 days of knowing, or reasonably having reason to know, of the conduct. Include the accounts involved, dates, and supporting evidence. Later reports may still be investigated, but the Company has no obligation to make any retroactive adjustment.

18.7 Injunctive relief

Cross-sponsoring causes harm that money alone cannot repair. The Company and any affected Affiliate may seek injunctive relief without posting a bond, in addition to any other remedy.

19 Re-Enrollment After Resignation or Termination

19.1 Waiting period

  • Resignation, cancellation, or ceasing participation → 6 consecutive calendar months of full inactivity before re-enrolling under any Sponsor
  • Termination by the Company for cause → 12 consecutive calendar months, and re-enrollment only with prior written Company approval

19.2 What "full inactivity" means

The period runs only while there is no involvement of any kind. The following are prohibited during it:

  • Placing or receiving any order at Affiliate pricing, or ordering through another person's account
  • Holding, accessing, or using a Back Office, replicated site, or Affiliate login
  • Receiving any commission, bonus, or award
  • Sponsoring, enrolling, or assisting in enrolling any person
  • Attending or presenting at any Company event, call, or training in an Affiliate capacity
  • Operating, assisting with, benefiting from, or being materially involved in any other Quantum Lifestyle business, including one held by a family unit member
  • Promoting products or the opportunity in any medium

Any of these restarts the waiting period from zero on the date of the activity.

19.3 Family unit and entities

The waiting period applies equally to the family unit and to any Business Entity in which an interest is held. A resigned Affiliate may not use a spouse, partner, child, relative, housemate, or company to hold a position under a new Sponsor during the waiting period. Such a position is deemed a cross-sponsoring violation under Section 18 and is subject to every remedy in Section 18.5.

19.4 After the waiting period

You may enroll under any Sponsor you choose. You have no right to your former downline — none will be returned or reassigned. Re-enrollment does not restore prior rank, volume, seniority, recognition, or awards.

19.5 Return to the original Sponsor

A former Affiliate may re-enroll under their original Sponsor at any time, without waiting, provided no other Affiliate solicited the resignation and the Company approves. This exception exists so the rule never punishes someone who simply took a break.

20 Orders, Returns and Right of Withdrawal

The Returns and Shipping Policy governs the mechanics of returns and is incorporated into this Agreement. This Section states the terms specific to Affiliates.

20.1 Customer guarantee

30-day money-back guarantee — the full purchase price of product returned in resalable condition. Original shipping and handling are not refunded except where law requires.

20.2 Statutory right of withdrawal — EU, UK, Switzerland

14 days from receipt, without reason, with full refund of the price and standard delivery cost. This right exists independently of and in addition to the Section 20.1 guarantee and cannot be reduced by any provision of the Agreements. Instructions and the model withdrawal form are in the Returns and Shipping Policy.

20.3 Affiliate returns and buy-back

  • Unopened, resalable product purchased within the previous 30 days → refund of 90% of purchase price, less shipping, provided the Agreement has not been terminated
  • On cancellation → the Company repurchases currently marketable product and generic sales aids purchased within the previous 12 months at 90% of net cost, less shipping
  • Commissions and bonuses paid on returned product are deducted from the reimbursement

Not resalable and not refundable: custom-printed items carrying an Affiliate's own contact details, and items identified as non-returnable, discontinued, or seasonal at the time of sale.

20.4 Return process

A Return Merchandise Authorisation must be obtained by support ticket in your Back Office before shipping. Return in original packaging with a copy of the invoice referencing the RMA number and the reason for return. Ship prepaid and adequately tracked. No collect shipments are accepted; risk of loss in transit remains with the sender.

20.5 Excessive returns

Returns totalling USD 300 or the local equivalent within any 12-month period, accompanied by refund requests, may be grounds for involuntary termination.

20.6 Payment failures

Declined or returned payments result in the Company attempting an alternative payment method. A fee may be charged. Any outstanding balance may be withheld from future commissions. Repeated failures may result in loss of ordering privileges.

21 Data Protection

21.1 The Company's role

Quantum Lifestyle LLC is the controller of the personal data it collects about you. Full details are in the Privacy Policy, which is incorporated into this Agreement. Where the Company has appointed a representative under GDPR Article 27, UK GDPR Article 27, the Swiss FADP, or the Thailand PDPA, that representative's details are published in the Privacy Policy.

21.2 Compliance and fraud monitoring

The Company processes enrollment, order, log-in, device, network, payment, and communication data to operate the Compensation Plan, prevent fraud, and enforce the Agreements — including detecting cross-sponsoring, duplicate accounts, and manipulated volume. Under the GDPR this rests on the Company's legitimate interests in protecting business integrity and Affiliate earnings, and on performance of this contract.

21.3 Your role

Receiving downline or Customer contact data, or collecting prospect data, makes you an independent controller of that data. You are responsible for lawful handling, security, honouring marketing opt-outs and erasure requests, and deletion when your participation ends. Do not upload downline or Customer data to any third-party tool, list, or advertising platform.

21.4 Requests and breaches

  • Forward any data protection request you receive — access, erasure, objection, or otherwise — by support ticket in your Back Office, without delay and within 3 business days
  • Report any actual or suspected loss, theft, or unauthorised disclosure of personal data the same way within 24 hours of becoming aware of it. If you cannot reach the Back Office, email support@quantumlifestyle.com immediately and follow up with a ticket — do not let the 24-hour clock run out

These timeframes exist because statutory response deadlines are short and begin when the request is first received.

22 Dispute Resolution

22.1 Disputes between Affiliates

Attempt direct resolution first. If that fails, submit the matter in writing by support ticket in your Back Office. The Company's written decision is final and binding on the Affiliates involved.

The Company involves itself only in Quantum Lifestyle business matters. It does not adjudicate personality conflicts or conduct outside the business, enforce or mediate private agreements between Affiliates, or provide names, funding, or advice for obtaining outside counsel.

22.2 Disputes with the Company — informal resolution first

Send written notice by support ticket in your Back Office describing the dispute and the relief sought. The parties will attempt resolution in good faith for 30 days from receipt.

22.3 Binding arbitration — United States

For US residents: arbitration under the AAA Commercial Arbitration Rules, before a single arbitrator, seated in Morgantown, West Virginia, or by videoconference at the Affiliate's election. Judgment may be entered in any court of competent jurisdiction.

This provision is mutual — the Company is equally bound. Each party bears its own legal fees unless the arbitrator awards otherwise. Claims proceed in an individual capacity only; no class, collective, or representative action is permitted. If the class action waiver is held unenforceable, this Section 22.3 is void in its entirety and disputes proceed in court under Section 15; the remainder of the Agreement is unaffected.

Either party may bring an individual claim in small claims court, or seek injunctive relief in court to protect intellectual property, confidential information, or genealogy integrity, without first arbitrating.

22.4 Affiliates outside the United States

Section 22.3 does not apply. Disputes not resolved under Section 22.2 are subject to Section 15. Nothing removes your right to bring proceedings in your country of residence where mandatory law gives it, or to use any national ADR or ODR scheme available to you.

22.5 Amendment of this Section

Section 22 may be amended only by mutual written consent and is not subject to the unilateral amendment right in Section 24.

23 Notices and Electronic Communications

You consent to receive notices, disclosures, policy changes, and legal communications electronically, at your account email address or through the Back Office. Notices you send the Company should go by support ticket in your Back Office, which creates a dated record on your account. Keeping your contact details current is your responsibility. A notice is deemed received on the date sent, or the date posted in the Back Office or on the Company website.

Formal legal notices to the Company: by support ticket in your Back Office, and where a signed original is required, by post to Quantum Lifestyle LLC, 1063 Greenbag Road, Suite C, Morgantown, WV 26508, United States.
General questions not tied to your account: support@quantumlifestyle.com

24 Amendments

The Company may amend this Agreement, the Policies and Procedures, the Compensation Plan, and product pricing at its discretion. Amendments take effect on notice by any of: publication on the Company website, email to the account address, Back Office posting, or inclusion in an official Company communication.

Continued participation after the effective date constitutes acceptance. The remedy for non-acceptance is resignation under Section 11.2. Section 22 is excluded (see Section 22.5).

Each version is published with a version number and effective date. Superseded versions are retained and available on request by support ticket in your Back Office.

25 Order of Precedence and Definitions

25.1 Order of precedence

Where documents conflict, the following order applies:

  1. Mandatory law of the Affiliate's country of residence that cannot be excluded by contract
  2. This Affiliate Agreement
  3. The Policies and Procedures
  4. The Compensation Plan
  5. Topic-specific policies, governing their own subject matter — the Privacy Policy for data protection, the Returns and Shipping Policy for returns. Online presence and advertising are governed by Section 6 of this Agreement, not by any separate policy
  6. All other official Company materials

26 Conflicts of Interest and Non-Solicitation

You may build another business. You may not build it out of this one. This Section does not stop you working elsewhere. It stops you using the relationships, trust, and access you gained through Quantum Lifestyle to move Affiliates or Customers to a competitor.

26.1 Other ventures are permitted

Participation in another direct sales, multi-level marketing, network marketing, or relationship marketing venture is permitted. Holding an interest in a Competing Business is not, by itself, a breach of this Agreement. What follows restricts solicitation, not employment or enterprise.

26.2 Non-solicitation of Affiliates and Customers

During the term of this Agreement and for 12 months after it ends for any reason, you may not Recruit or Solicit any Quantum Lifestyle Affiliate or Customer to join, evaluate, or participate in any Competing Business.

The only exception is a person you personally sponsored or personally enrolled. You may solicit those individuals. You may not solicit anyone else in your organisation, anyone in another organisation, or any Customer assigned to another Affiliate.

The restriction applies whether the other person is in your upline, your downline, your crossline, or no line at all, and whether or not you are still an Affiliate at the time.

26.3 What counts as Recruiting or Soliciting

Recruit and Solicit mean any actual or attempted solicitation, enrollment, encouragement, invitation, or effort to influence in any other way — directly, indirectly, or through any third party. The following are covered:

  • Asking someone to enroll in a Competing Business, or to consider, preview, evaluate, or "take a look at" one, where enrollment or participation is the intended or foreseeable outcome. An invitation to look is a solicitation. It does not become permissible because no direct request to join was made
  • Masked or unnamed approaches — teasing an unnamed opportunity, project, product, or company; posting or sending "message me," "DM for details," "I've found something," or equivalent, where the subject is a Competing Business
  • Sending or sharing a link, video, presentation, replicated site, sample, product, brochure, compensation plan, income figure, or enrollment form for a Competing Business
  • Inviting a person to a call, webinar, launch, home meeting, hotel meeting, coffee, group chat, social media group, mailing list, or event at which a Competing Business is or will be presented
  • Adding or importing a person into any list, group, broadcast channel, funnel, automation, or advertising audience used to promote a Competing Business
  • Acting through a proxy — arranging, encouraging, or permitting a spouse, partner, relative, housemate, business entity, upline, downline member, or any other person to do anything in this list on your behalf, or introducing an Affiliate or Customer to someone else for that purpose
  • Undermining in aid of solicitation — disparaging the Company, its products, its leadership, or its Compensation Plan to an Affiliate or Customer in connection with, or in preparation for, an approach covered by this Section

This is solicitation even where the other person asked first. A reply to an enquiry, a response to a comment, or a conversation the other person opened is still covered. If an Affiliate or Customer approaches you about another company, you may tell them you are not able to discuss it and refer them to support@quantumlifestyle.com. You may not use their enquiry as an opening.

26.4 What is not a breach

  • Soliciting a person you personally sponsored or personally enrolled
  • General advertising or public content that is not directed at, targeted to, or tailored to reach Quantum Lifestyle Affiliates or Customers, and that does not use any Company list, genealogy, group, or contact data. Advertising aimed at "network marketers," at a Company brand term, or at a Company group or hashtag is directed advertising and is not covered by this exception
  • A relationship that predates and is genuinely independent of Quantum Lifestyle, and that you did not develop or maintain through the business
  • Responding to a Company enquiry, a regulator, or a court

26.5 Selling competing products

During the term and for 6 months after it ends, you may not sell, or entice any other person to sell, products or services of a Competing Business — including training materials, tools, lead systems, or coaching programmes — to any Quantum Lifestyle Customer or Affiliate other than one you personally sponsored.

Any product or service in the same category as a Company product is treated as competing regardless of any difference in cost or quality. This does not apply where professional services are your primary source of revenue and product sales are secondary to them.

Section 6.16 separately prohibits bundling or displaying Company products alongside non-Company products, and presenting any non-Quantum Lifestyle opportunity at or immediately following a Company event, call, or meeting. Those prohibitions apply during the term without regard to this Section.

26.6 Use of Company data

Genealogy reports, downline and Customer lists, Back Office data, and contact details obtained through the business may never be used to identify, contact, or approach anyone for a Competing Business. Doing so is a breach of this Section and independently a breach of Section 10, and will be treated as misappropriation of trade secrets.

26.7 Evidence, remedies and reporting

Breach is decided on the balance of available evidence, including messages, group memberships and invitations, event registrations, posts and comments, referral link data, timestamps, and accounts of the people approached.

Available remedies are those in Section 11.3, up to and including termination, together with forfeiture of pending commissions, bonuses, and awards. Solicitation of an organisation causes harm that money alone cannot repair; the Company and any affected Affiliate may seek injunctive relief without posting a bond, in addition to any other remedy.

Report a suspected breach by support ticket in your Back Office within 90 days of knowing, or reasonably having reason to know, of the conduct, following Section 3.5.

26.8 Reasonableness and local law

The restrictions in this Section are limited in time, limited to Quantum Lifestyle Affiliates and Customers, and do not restrict your right to work, to trade, or to build any other business. If a court or competent authority finds any part unenforceable as written, it is to be modified to the minimum extent necessary to make it enforceable rather than struck out, and the remainder continues in
